Subscription Agreement

Welcome to the Tunee "Subscription Agreement" and to activate your Tunee "Subscription"!

Before you activate the "Subscription" service, please be sure to carefully read and fully understand the terms and conditions, especially those related to the exemption or limitation of liability, legal applicability, and dispute resolution. If you have any questions about the Agreement, you can consult us.

If you are under 18 years of age, please read this Agreement under the guidance of your legal guardian.

If you do not agree to any part of this Agreement or cannot accurately understand the meaning and interpretation of the terms, please do not proceed with the subsequent steps. By purchasing or using the "Subscription" service, you acknowledge that you have entered into an agreement with Tunee and voluntarily accept all the terms and conditions of this Agreement.


1. Acceptance and Revision of the Service Agreement

1.1 The Tunee "Subscription Agreement" (hereinafter referred to as "this Agreement") is a legal agreement between you and Tunee regarding the various services provided by Tunee in the "Subscription" of Tunee's value-added services (hereinafter collectively referred to as "Subscription"). This Agreement is based on the "Tunee User Agreement", "Tunee Privacy Policy" and other Tunee-related agreement specifications (collectively referred to as the "Tunee Service Terms"), and is inseparable from them. At the same time, relevant agreements, rules, and other documents published by Tunee from time to time regarding the "Subscription" are also part of this Agreement. When using the "Subscription" service, you should comply with this Agreement, the Tunee Service Terms, and all the aforementioned related agreements, activity rules, and other terms.

1.2 Tunee may modify or change the "Subscription" and/or this Agreement based on the overall planning of the "Subscription". Your use of the "Subscription" service (including but not limited to payment behavior or completion of all procedures to become a "Subscription" user without raising any objections to this Agreement to Tunee during the process, or using the "Subscription" service, etc.) shall be deemed as your acceptance and agreement to all terms of this Agreement, including but not limited to the aforementioned modifications and changes.

1.3 After you activate the "Subscription" service, there may be differences in the specific services you can actually use due to factors such as the software version, device, operating system you are using, and third-party reasons. You understand the inconvenience this may cause and agree not to make any claims against Tunee or hold Tunee liable for it. Meanwhile, the "Tunee Subscription Agreement" may vary depending on the software version you are using. You understand and agree that the final version of this Agreement shall be the version provided in the latest client version of Tunee.


2. Service Description

2.1 "The Service" refers to the "Tunee Subscription Service", which is a value-added service that users can access through paid subscription. The main benefits of the Service include but are not limited to: intelligent creative agent conversations, song creation, MV generation, copyright certification services, concurrent creative tasks, music mastering, separate track export, and automatic MV generation.

The specific types and content of the subscription benefits are subject to the "Subscription Benefits Description" page and related service pages, as actually provided. You may choose the corresponding services at your own discretion based on your needs.

2.2 The "Subscription" service is a paid value-added service provided by Tunee in its mobile client. You need to pay the relevant fees to enjoy all the benefits of the "Subscription".

The Automatic Renewal Service is divided into two types: monthly subscription and yearly subscription, with corresponding fees for each billing cycle being the monthly fee and the yearly fee, respectively. Provided that you have activated the Service, you irrevocably authorize Tunee, as the service period for the monthly/yearly subscription (depending on the type of Automatic Renewal Service you have activated) is about to expire, to deduct the fee for the next billing cycle from the account ID linked to your Tunee account through a third-party payment channel.

2.3 User or "You": refers to the individual or single entity that enjoys the "Subscription" service provided by Tunee.

2.4 Tunee solemnly declares: The "Subscription" service does not affect any existing free services on the Tunee platform and guarantees service quality. Given the special nature of network services, we have the right to make full or partial changes, adjustments, cancellations, or additions to the subscription benefits and special subscription services based on market conditions, which may affect the subscription benefits you have enjoyed or are currently enjoying. You agree that if you continue to use the Tunee subscription service in accordance with the adjusted content, you will not hold Tunee liable for any responsibility.


3. Activation of "Subscription" Service

3.1 If you activate this Service, it is deemed that you authorize Tunee to deduct the service fee for one billing cycle from your ID balance when your purchased paid service is about to expire. The specific deduction time is 24 hours before the expiration of each billing cycle.

By choosing to bind a third-party payment channel to enjoy this Service, you are deemed to have agreed to the payment deduction instructions issued by this third-party payment channel and to authorize it to deduct the fees for the next billing cycle from the aforementioned account without verifying your account password, payment password, SMS verification code, or other information. If you wish to cancel, you must do so within the time and via the process specified on the Platform.

Automatic Renewal:
Tunee entrusts third-party payment channels (hereinafter referred to as "Payment Channels") to collect the fees for the next billing cycle of the corresponding paid services, record the transactions in the payment history, and simultaneously extend the validity period of the paid services. You must ensure successful payment deduction from the aforementioned account via the Payment Channels. Any renewal failure due to insufficient balance in the account for deduction shall be your sole responsibility (including but not limited to the termination of corresponding benefits and inability to participate in related activities).

Recurring charges:
You authorize Stripe to process your payments for any renewal subscription. Subscription prices will be displayed to you at the time of purchase. You will be billed for the same subscription plan at the then-current monthly or annually subscription price plus any applicable taxes. Your payments will be processed for any renewal subscription using the same billing cycle as your current subscription. In other words, if your payment is processed for your current subscription on the 20th of each month, then your payment will continue to be processed on that day for any renewal subscription. Additional terms and conditions may apply upon renewal, and subscription fees may change at any time, to the fullest extent permitted under applicable law, we will give you reasonable notice by posting the new price, and/or sending you email. If you do not accept the new price or the change thereof, you can cancel the subscription prior to the change going into effect. If your subscription plan is no longer available, your renewable subscription will be automatically terminated, and you will not be billed afterwards.

In the event of any error during the deduction process, Tunee and you shall work closely to identify the cause and each party shall bear the losses caused by its own fault. If the losses are caused by unequal faults of both parties, the parties shall bear corresponding responsibilities according to the degree of their faults. If both parties are jointly responsible, the responsibility shall be shared equally.

3.2 You can activate the "Subscription" service by completing the payment through a payment method approved by Tunee on the service activation page of the Tunee website.

3.3 You are prohibited from activating/receiving this service for yourself or others through any of the following methods:

(1) For purposes other than personal use, such as profit-making or business operations;
(2) Through any robotic software, spider software, crawler software, screen scraping software, or any other programs, scripts, software, etc.;
(3) Through any improper means or in violation of the principle of good faith (such as exploiting loopholes in rules, exploiting system vulnerabilities, engaging in black-hat industries, speculation, etc.);
(4) Modifying information related to the "Subscription" service duration, consumption amount, transaction status, etc., through technical means;
(5) Through methods not approved by Tunee;
(6) Through infringing upon the legitimate rights and interests of Tunee or others;
(7) Through other methods that violate relevant laws, administrative regulations, or national policies.

If you violate any of the above provisions, Tunee has the right to modify, restrict, suspend, or terminate all or part of your "Subscription" service based on your actual situation, without any compensation or refund.

3.4 When activating the service, you should carefully check the specific information such as the type of service being activated and the authorized benefits, and you must read, confirm, and comply with the relevant agreements and usage methods. If you mistakenly recharge the wrong account, activate the wrong service, or select the wrong duration due to personal reasons, Tunee will not refund the fees already collected.

3.5 You understand and agree that Tunee may, based on actual circumstances, provide different value-added services or pricing for "Subscription" recharges/renewals for users with different identities or at different stages. The specific preferential policies are subject to the information announced by Tunee on the relevant service pages.

3.6The "Subscription" service is limited to personal use by the account that applied for it and cannot be transferred between different Tunee accounts.

3.7 Upon successful activation of the "Subscription," you will enjoy corresponding service experiences based on your purchase, including but not limited to multiple exclusive privileges and services. The specifics are subject to the content actually provided by Tunee. The "Subscription" service has a specified service duration, and we may offer you a choice of service durations (such as monthly, yearly, etc., with the specifics indicated on the product page). Unless otherwise agreed in this Agreement, the duration of this service is based on the period you select and pay for, and becomes effective upon your selection and purchase of the service. The effective date of this service starts from the activation of the "Subscription" and ends when you unsubscribe from the service/deactivate your Tunee account or your account is banned due to misuse. You can check the service duration options and remaining service duration on the corresponding page of this service.

3.8 If you cancel or terminate the "Subscription" service within the specified period during the valid subscription term, the refund will be calculated and issued based on your usage proportion.

You can cancel their subscription renewal on the Web platform by following these steps:

  • Log into your account on the Web platform.
  • Navigate to your Personal Center.
  • Click on the Usage tab.
  • Click on the Manage.
  • Select Cancel renewal and confirm the action to complete the process.

Cancellation:
EU, Turkey, or UK Users: You may cancel your subscription and request a refund within 14 days of purchase. In your refund request email, please clearly indicate that you are applying under EU, Turkish, or UK consumer protection laws.

Users in Other Countries/Regions:

  • Monthly Membership: Refunds may be requested within 7 days of purchase.
  • Annual Membership: Refunds may be requested within 7 days of purchase.

3.9 Refund Calculation Based on Credits Usage

Scope: Refunds (if any) for the Subscription shall be determined by reference to the User's consumption of subscription Credits during the applicable billing period.

Refund Tiers:
· No Consumption. If no Credits have been used: 100% refund of the subscription fee minus applicable fees (Stripe processing fees + service fee; minimum deduction of USD 3).
· Partial Consumption (0%–80%). If the Credits Usage Percentage is greater than 0% and up to 80%: pro-rata refund based on the unused Credits minus applicable fees (Stripe processing fees + service fee; minimum deduction of USD 3).
· High Consumption (>80%). If the Credits Usage Percentage exceeds 80%: no refund.
· Administration: Refund eligibility and calculations shall be made by Tunee in good faith based on system records. Tunee may reasonably request information necessary to verify usage.

3.10 You acknowledge and agree that the "Subscription" service is a network and virtual commodity that operates on a pay-first, service-later basis. The "Subscription" fee is the service price corresponding to the "Subscription" service you purchase, and is not a prepayment, deposit, down payment, or savings card. Once the "Subscription" service is activated, it cannot be transferred or refunded (except in cases where Tunee breaches the agreement due to significant defects in the "Subscription" service that make it completely unusable, as otherwise agreed in this Agreement, as required by laws and regulations for refunds, or as determined refundable by Tunee after contacting customer service). If you do not accept the "Subscription" service, you can stop using or renewing the "Subscription" service.


4. Obligations of Tunee

While providing multiple exclusive privileges and value-added services for the "Subscription," Tunee will make its best efforts to ensure the stability of the "Subscription" service by offering various technical and customer support services, including but not limited to:

4.1 Customer service for issues such as purchase and redemption encountered during the activation of the "Subscription";

4.2 Active and effective content support and technical support for the "Subscription" service, including daily operations, maintenance, repairs, and updates;

4.3 Answers to frequently asked questions and explanations of basic rules during the provision of the "Subscription" service;

4.4 Management and monitoring of programs and data related to the "Subscription" service to ensure its stability;

4.5 Making every effort to prevent malicious attacks on the servers and technical equipment of the "Subscription" service, thereby protecting your legitimate interests;

4.6 Other technical and/or services provided to you by Tunee.


5. "Subscription" Guidelines

5.1 Upon becoming a "Subscription" member, you will enjoy various exclusive privileges, which you can view on the "Profile" - "Upgrade" page. Any inconsistency between the privilege names under this Agreement and those described on the page will not affect the actual benefits of the subscription that you enjoy.

5.2 When applying for the "Subscription" service and filling in relevant information, please provide true and valid details.

5.3 You are prohibited from obtaining "Subscription" qualifications by selling, transferring, stealing, leasing, or otherwise using other users' accounts, or from enjoying the exclusive benefits of the "Subscription" by selling, transferring, stealing, lending, leasing, or otherwise using other "Subscription" accounts.

5.4 You understand and agree that Tunee has the right to adjust the content of the "Subscription" privileges from time to time based on the overall planning of the service and changes in its operational strategies. You should promptly pay attention to and understand changes in the privileges and policies. Before Tunee adjusts the privileges, you may have enjoyed or be enjoying certain service content or benefits. You understand and accept that Tunee's adjustment of the privileges may affect the benefits you have enjoyed or are enjoying, and agree to use the adjusted privileges without requiring Tunee to bear any responsibility.

5.5 If you violate this Agreement or Tunee's service terms, Tunee has the right to take one or more of the following measures:

(1) Use technical means to delete, block, or disconnect related information;
(2) Modify, restrict, suspend, or terminate all or part of the "Subscription" services;
(3) Charge a penalty fee and offset any unused fees, points, or benefits you have paid against the penalty fee; if the penalty fee is insufficient to cover the losses, further require you to compensate for the losses.

5.6 During your use of the "Subscription" services, you should comply with laws, regulations, and other normative documents, abide by public order, respect social ethics, refrain from endangering network security, and refrain from using the network to engage in activities that infringe upon the reputation, privacy, intellectual property, and other legitimate rights and interests of others. In any case, if Tunee reasonably believes that you have engaged in the aforementioned behaviors, it has the right to terminate the provision of "Subscription" services to you without prior notice.

5.7 You are responsible for properly, correctly, and securely storing, using, and maintaining your Tunee "Subscription" information, account details, and account password. You must take necessary and effective measures to keep your account information and password confidential. To protect account security and prevent account theft, Tunee may occasionally or periodically use one or more methods to verify the identity of the account user (such as email verification, third-party login verification, etc.). If the verification is not successfully completed, Tunee has reasonable grounds to suspect that the account has been stolen or is otherwise insecure, and may, depending on the severity of the situation, decide whether to suspend the "Subscription" service to the account and/or take further measures.


6. Privacy Protection

You understand and agree that Tunee will process and protect your personal information in accordance with the provisions of the "Tunee Privacy Policy".


7. Suspension or Termination of "Subscription" Services

7.1 Tunee has the right to interrupt or terminate the provision of "Subscription" services to you in the following circumstances:

(1) You cancel the subscription within the time period specified by the platform;
(2) You have engaged in, or Tunee, after an independent judgment, believes that you have engaged in, any behavior that violates laws, regulations, or regulatory policies, violates this Agreement or Tunee's service terms, or affects or may affect the reputation or interests of Tunee and/or its affiliated companies;
(3) In accordance with laws, regulations, regulatory policies, or the requirements of authorized authorities;
(4) To address emergencies such as maintaining account and system security;
(5) Force majeure (given the special nature of the Internet, force majeure also includes hacker attacks, significant impacts caused by technical adjustments by telecommunications departments, temporary shutdowns due to government restrictions, virus attacks, and other situations that affect the normal operation of the Internet);
(6) Other situations that Tunee cannot resist.

7.2 In the event of the aforementioned termination, you acknowledge the following handling methods:

(1) Unless otherwise stipulated by laws and regulations or specified by Tunee, to compensate for any losses incurred by Tunee, the "Subscription" fees already collected will not be refunded;
(2) If the termination is due to your violation of this Agreement, Tunee has the right to request that you bear corresponding liability for breach of contract, depending on the situation;
(3) Unless otherwise stipulated by laws and regulations or specified by Tunee, Tunee shall not be liable to you or any third party for any reason.


8. Other Agreements

8.1 Notifications

(1) All notifications from Tunee to users under this Agreement can be sent via in-site messages, email, etc., and such notifications shall be deemed as delivered to the user on the date of sending.
(2) To facilitate your receipt of relevant notifications, you should ensure that the contact Email information you have provided is correct and valid. If you fail to provide the correct contact information or promptly inform us of any new contact information, resulting in your inability to receive notifications in a timely manner, you shall bear any losses and legal consequences arising from this.
(3) Tunee may send various notifications to you through one or more of the aforementioned methods, and the content of such notifications may have a significant favorable or unfavorable impact on you. Please ensure that your contact information is valid and stay tuned.

8.2 Governing Law and Jurisdiction

The interpretation, validity, and dispute resolution of this Agreement shall be governed by the laws of Singapore. In the event of any dispute regarding the content of this Agreement or its execution, the parties shall strive to resolve it through friendly negotiation. If negotiation fails, you agree to submit the dispute to the Singapore International Arbitration Centre ("SIAC") for arbitration in accordance with the SIAC's Arbitration Rules ("SIAC Rules") in effect at that time.

8.3 If any provision of this Agreement is invalid or unenforceable for any reason, the remaining provisions shall remain valid and binding on both parties.

8.4 The headings of all provisions in this Agreement are for reading convenience only and have no actual meaning. They cannot be used as the basis for interpreting the meaning of this Agreement.
